Terms & Conditions

Stylecrate Ltd is an online fashion retailer that provides the following services:

  • For a monthly fee, provides subscribers with a subscription box (“Subscription Box”) each month containing sustainable clothes which we will attempt, so far as possible, to match to the profile (“Profile”) that you create when you subscribe to our Service. Subscribers will have the opportunity to purchase items of clothing from the Subscription Box but items that are not purchased must be returned to us as set out below in these Terms; and
  • For a one off fee, provides a rental box (“Rental Box”) containing two items which customers may select, and keep for one month, and then return.

The following Terms of Use and Terms of Sale (“Terms”) govern the use of our Service. These Terms do not affect your statutory rights as a consumer.

For the purposes of these Terms “we”, “our” or “us” refers to Stylecrate Ltd, its successors, assigns and affiliates. When we use the words “writing” or “written”, this includes email. “You” refers to any user of our website (“Site”).

For the purposes of these Terms, “Box” shall mean “Subscription Box” or “Rental Box”, as appropriate.

 

Customer Obligations

Please read these Terms carefully. By using our website, placing an order for a Box or for the purchase of Products with us (collectively the “Service”) you confirm that you are aged 18 or over, you are based in the UK, you have read, understood and agree to these Terms and you have the authority to enter into these Terms.

The Service is currently only intended to operate for customers based in the UK such that we are only able to process orders for Products to be delivered to an address within the UK, and for which a postcode has been provided.

 

Changes to these Terms

We reserve the right to alter these Terms at any time to give effect to changes in our Products or Service or business needs. We will send email notification of such changes to the email address you provided when you initially placed an order through our Site. If you use our Service before the change in the Terms, you will be bound by the previous set of Terms in force at the date of your purchase. 

 

Becoming a Customer

You may browse our Site at any time as a visitor and become a customer.

In order to become a customer, you must provide your name, email address and other registration information. You will also be required to provide your Card Details (as defined below under Payments).  

Signing up for a Subscription Box

A Subscription Box is a Box that we will send to you on a monthly basis, subject to a monthly subscription fee. If you wish to subscribe for a Subscription Box we will ask you to provide information about your size, fit, style preferences, and other information so that you can create a “Profile” which will give us a good idea of what you like to wear. Your Profile will enable us to personalise your Box as far as possible. However, we cannot guarantee that we will always be able to fully match your Profile with the Products we send you, although we will make every effort to do so.  

You may not register for more than one Box, nor register on behalf of someone else without that person’s authority, nor may you register on behalf of any group or entity.

 

Rental Box

A Rental Box is a Box that you can “rent” on a one off basis for a period of one month, but unlike the Subscription Box, will not renew monthly. The Products must be returned to Stylecrate at the end of the rental period. If you wish to purchase a Rental Box we will ask you to provide information about your size and fit. You must then select two items (one from each list as shown on the Rental Box product page).

You may not purchase more than one Rental Box at a time, nor purchase a Rental Box on behalf of someone else without that person’s authority, nor may you purchase a Rental Box on behalf of any group or entity.

 

 

Your Obligations as a Customer

The Products are intended for private and domestic use and are therefore not for commercial use.

If we reasonably believe that you have not complied with these Terms, we reserve the right to take appropriate action to secure the Service on the Site, which may include, without limitation, requesting additional information to authorise transactions or to terminate your Subscription at any time. If you think that anyone else has registered for a Box on your behalf, you must notify us straight away by emailing us at [email protected]

 

Orders, Scheduling and Delivery

When you place an order for a Box, our payment processing provider or a third-party service provider may run some data checks before we accept it. This may include verifying your address and checking for potential fraud.

If we cannot accept your order, or if for any reason we decline your request, we will attempt to notify you by email. We may not be able to accept your request because of unexpected limits on our resources which we could not reasonably plan for, if your Card Details are incorrect or not verified, you are under 18 years of age, you are not a consumer, or your request is flagged by our security systems as unusual or susceptible to fraud.

The Box will be delivered to the address you provided when you first registered with our Site. It will not be possible to ship to an address outside the United Kingdom.

Upon delivery, please inspect the packaging for damage. If it appears that the Products are damaged, please notify us immediately at [email protected]

Subscription Box

Subscription: You will have the choice of subscribing to one of two different types of Subscription Box.

Essential Box – containing two Products; or

Value Box – containing three Products.

Each Box will have its own monthly “Subscription Fee” which may vary from time to time. We reserve the right from time to time to change the number of Products in each Box in accordance with our business needs but with a view to providing good value and in any event to match your Profile so far as possible. Once you have confirmed your Subscription, we will send a confirmatory email to the email address provided by you. Payment for the first Box will be taken at this stage from your Card Details. We will aim to make up your first Box and dispatch it to you within 2 to 3 working days. A further email will be sent to you confirming dispatch. Payment for the second and subsequent Boxes will be taken on the same day in the following and subsequent months thus setting up a monthly payment cycle.

In addition to the Subscription Fee, there will be an initial “Sign Up Fee” which may vary from time to time which is payable along with the first Subscription Fee. The Sign Up Fee will be credited against any purchases you make from your first Subscription Box.

Rental Box

Upon purchase of the Rental Box, you will receive a confirmatory email to the address provided by you. Payment for the Rental Box will be taken at the time of purchase from your Card Details. We will aim to dispatch your Rental Box within 2 to 3 working days of confirmation of your Payment. A further email will be sent to you confirming dispatch.

 

Purchase and Return of Products

Subscription Box

When you subscribe for a Subscription Box, you will receive a Box containing some Products that we have selected based on information you provided to us when you signed up for your Subscription. Your first Box will be deemed to have arrived with you 3 days after we notify you by email that it has been dispatched. We will endeavour to ensure that your second and subsequent Box is delivered to you one calendar month after deemed receipt of your first Box, thus ensuring a monthly cycle.

As you are effectively renting the Products, you may use them for a period of one calendar month from receipt, but please bear in mind that we require them back from you clean and undamaged by the end of that calendar month.

Rental Box

When you purchase a Rental Box, you will receive a Box containing the Products that you chose to receive when you purchased the Rental Box on our Site. The Rental Box will be deemed to have arrived with you 3 days after we notify you by email that is has been dispatched.

As you are renting the Products, you may use them for a period of one calendar month from receipt, but please bear in mind that we require them back from you clean and undamaged by the end of that calendar month. 

Purchase and Return of Products (cont.)

If you decide you do not wish to purchase any of the Products, then on the paper invoice you received with the Box, you must tick ‘Return’ alongside each Product you wish to return, place this inside the Box along with the Product(s) to be returned and then post the Box back to us using the prepaid shipping label provided. This is so we can check that that we have safely received the Products back from you and do not charge you for them. We recommend that you keep a copy of the invoice, for example a photo on your phone.

If you decide to purchase one or more Products, but wish to return one or more Products, then you must follow the procedure for returning the Products  as stated above. For the Products you wish to purchase, you must tick ‘Purchase’ on the same invoice and place this in the Box and keep a copy for your records, for example a photo on your phone. Please post the Products for return back to us in the same Box with the completed invoice, using the prepaid shipping label provided. Upon receipt of the Box we will debit your Card Details for the Price of the Product(s) you have ticked as wanting to purchase, as shown on your invoice. The price for each Product will be stated on the invoice and will be up to 15% less than the recommended retail price (RRP) (“Price”) unless you are purchasing more than one item in which case the Price will be up to 30% less than the recommended retail price (RRP), or in both cases such reasonable alternative discount as we shall from time to time decide.

If you decide to purchase all the Products in your Box, you must nonetheless return the Box to us using the prepaid postage label provided, and you should retain the items themselves. The invoice must be returned with the Box and you must have ticked ‘purchase’ alongside all the Products. Upon receipt of the Box we will debit your Card Details for the total Price of the Products, and of course being a sustainable company, we will be able to re-use the Box. Again, you may wish to take a copy of the invoice for example a photo on your phone.

If you return a Box empty, that is to say with no returned Products and no ticked invoice, we will assume that you wish to purchase the Products and therefore on receipt of the Box we will debit your Card Details for the total Price of the Products.  

The box must be returned to us so as to arrive between the date which is (a) one calendar month after deemed receipt by you of the Box and (b) seven days thereafter. To make things simpler, these dates will be stated on your invoice and we ask that you diarise them carefully, e.g. on your phone.

If we have not received the returned Box from you within a period of seven days after the date mentioned in (b) above (“Grace Period”), we may charge your Card Details for the Price of those Products.

If the box is returned to us after the Grace Period for more than three consecutive months, we reserve the right to suspend dispatch of the next Box due, and / or terminate your Subscription.

If you think the Box will not be returned to us by the expiry of the Grace Period, we ask that you email us at [email protected] and provide details as to what efforts you have made to return the Box.

All Products returned to us must be clean, unstained and undamaged. As we are a sustainable business, we will look to include these Products in a future Box for other subscribers. If in our reasonable opinion the Products are incapable of being re-used because they have incurred stains or damage whilst in your possession, we may charge your Card Details for the Price of those Products (being the value as described above).

You will be responsible for the Products from the time that you receive them. We remain the owners of the Products until we have received full payment for the Products, at which point you will own those Products.

 

Payments

Payments for all services will be charged to the debit [] card (“Card Details”) that you provided when you originally purchased a service on our Site. We accept all major debit [and credit] cards, such as Visa, Mastercard and American Express. We do not accept any other method of payment unless expressly specified on the check-out page.

All prices include VAT (where applicable). If the VAT rate changes between when you place your order and when you pay, the rate of VAT applicable at the date of payment shall apply.

By submitting your Card Details to us as part of purchasing a service on our Site, you authorise us to charge your card or other payment method whenever we are entitled to do so pursuant to these Terms.

You must have all necessary authorisations to make a payment. We will not be liable in the event that someone acting with or without your permission subscribes to the Service or makes a purchase on your behalf.  

 

Cancellation and Refunds

You may cancel your Subscription at any time by following the instructions for cancellation of Subscription on the Site. This must be done within 14 days of deemed receipt of the current Box because after that period we will be preparing your next Box. Cancellations received after this 14 day period will not be processed until the following month and a Subscription Fee will be payable for that month as you will have received a Box.

We cannot accept refunds on Products within the Subscription Box as this is a Subscription Service, nor can we accept a refund for any Products once they have been purchased. This is because you will have had one calendar month in which to make your decision to purchase.

Similarly, we cannot accept refunds on Products within a Rental Box, because you will have had one calendar month in which to wear the Products and make your decision to purchase.

 

Third Party Licenses

In the event that certain software code which may be licensed by third parties is incorporated into the Service, such software is not licensed under these Terms and Conditions and is licensed under the Terms and Conditions of those software licenses, and you agree to comply with those software license agreements.

 

Unacceptable Conduct

You may not introduce viruses, trojans, worms, logic bombs or other material which would harm the Service or any user of the Service’s own equipment. You may not do anything which is unlawful, fraudulent, or which violates our intellectual property in the Service. You may not do anything either online or in connection with the Service or the Box which, in our reasonable opinion, constitutes obscene or offensive activity.

 

Feedback

In the event that you provide us with any feedback on the Site or Service, you agree that we may use your suggestions or ideas in improving the Service and that you are not entitled to any compensation from us.

 

Changes to the Service

We reserve the right to change, modify or discontinue the Service with or without notice to you. Your continued use of the Service following notice of any such change will indicate that you agree to any such change. In the event that we discontinue the Service, we will give sufficient notice to ensure that any Box will be properly trialled and you have the opportunity to purchase any Products that you wish to.

 

Privacy Policy

You can view our Privacy Policy on the Site which describes how we collect, use and share your data.

 

Third Party Content

The Service may contain links to other websites and third-party content. Please note that we do not take any responsibility for the content, products and materials on such other websites and we do not assume any responsibility for any objectionable, inaccurate or unlawful content contained therein. Our inclusion of links to such third party websites does not imply our endorsement of the content on such websites and in no event will we be liable to you in connection with the content, products, materials, or practices of any such website.

 

Disclaimer of Warranties

We do not guarantee or warrant that your use of the Service will be uninterrupted, timely, secure or error-free nor do we make any warranty as to the results that may be obtained from the use of the Products, the Service, or Site or that defects in the Products, Service, or Site will be corrected.

You agree that your use of, or inability to use, the Service is at your sole risk. The Service and all Products and services delivered to you through the Service are (except as expressly stated by us) provided ‘as is’ and ‘as available’ for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

Whilst we have made every effort to create the Service with care, the information or graphics and/or other services on it may contain errors or be otherwise incorrect or incomplete. We shall not be liable for any damages resulting from the use of (or inability to use) the Service, including damages caused by viruses that may harm your computer equipment, computer programs, data or other proprietary material due to your use of the Service or to your downloading of any content on it, or on any website linked to it, or (except as otherwise expressly stated in these Terms) any incorrectness, or incompleteness of the Service. Although we use encrypted security software, the security of information and payments transmitted online cannot be guaranteed. We shall not be liable for any damages suffered as a result of the use of electronic communications.

 

Our Liability

We will have no liability to you for any breach of these Terms caused by any circumstances beyond our reasonable control. If supply of Products to you is delayed by an event outside our control, we will notify you as soon as possible and attempt to minimise the delay.

 

Rights of Third Parties

No person other than a party to these Terms has any right to enforce any of these Terms.

 

Severability

Each of the paragraphs of these Terms operates separately. If any of them are found to be unlawful, the remaining paragraphs will remain in full force and effect.

 

Transfer of Rights

We may transfer our rights and obligations under these Terms to another organisation, but this will not affect your rights or our obligations under these Terms. You may not transfer your rights or your obligations under these Terms to a third party unless we agree in writing.

 

Waiver

Any failure on our part to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

 

Disputes and Complaints

Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

Purchase and Return of Products (cont.)

If you think the Box will not be returned to us by the expiry of the Grace Period, we ask that you email us at [email protected] and provide details as to what efforts you have made to return the Box.

All Products returned to us must be clean, unstained and undamaged. As we are a sustainable business, we will look to include these Products in a future Box for other subscribers. If in our reasonable opinion the Products are incapable of being re-used because they have incurred stains or damage whilst in your possession, we may charge your Card Details for the Price of those Products (being the value as described above).

You will be responsible for the Products from the time that you receive them. We remain the owners of the Products until we have received full payment for the Products, at which point you will own those Products.

 

Payments

Payments for all services will be charged to the debit [] card (“Card Details”) that you provided when you originally purchased a service on our Site. Similarly, we cannot accept refunds on Products within a Rental Box, because you will have had one calendar month in which to wear the Products and make your decision to purchase.

 

Third Party Licenses
